Welcome to Gambit Markets ("Gambit," "the Platform," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Gambit Markets governing your access to and use of our platform, including all associated services, features, content, and applications (collectively, "Services"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

1. Description of Services

Gambit Markets operates a blockchain-based prediction market platform that provides Users with the following capabilities:

• Placing on-chain predictions on real-world events across multiple categories including but not limited to politics, cryptocurrency, sports, technology, culture, world events, and economics;
• Accessing and utilizing artificial intelligence-generated prediction insights, market analysis, and sentiment data to inform trading decisions;
• Creating, configuring, and deploying custom AI-powered prediction market agents ("Agents") that can autonomously execute trades based on user-defined parameters, risk thresholds, and strategy presets;
• Copy-trading functionality allowing Users to replicate the trading activity of other Agents on the Platform;
• Participation in performance-based rewards programs, leaderboard competitions, and referral incentive structures;
• Portfolio management tools including position tracking, profit and loss analytics, and historical performance data.

The scope, availability, and functionality of the Services may be modified, expanded, or reduced at our sole discretion without prior notice. Gambit reserves the right to introduce, alter, or discontinue any feature or service component at any time.

2. Eligibility and Account Requirements

By accessing or using the Platform, you represent and warrant that:

• You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater;
• You reside in and are accessing the Platform from a jurisdiction where the use of blockchain-based prediction markets is not prohibited, restricted, or otherwise contrary to applicable law;
• You are not a citizen or resident of, nor are you accessing the Platform from, any jurisdiction subject to comprehensive economic sanctions imposed by applicable regulatory bodies;
• You possess the legal capacity and authority to enter into these Terms and to use the Services in compliance with all applicable laws and regulations;
• You will provide accurate, current, and complete information as required for account registration and will maintain and promptly update such information;
• You will not create multiple accounts, share account credentials, or allow any third party to access or use your account.

Gambit reserves the right to verify the identity and eligibility of any User and to deny or revoke access to the Platform at its sole discretion if any of the foregoing representations are found to be inaccurate or misleading.

3. User Responsibilities and Conduct

Users bear sole and exclusive responsibility for all activities conducted through their accounts, including but not limited to:

• All prediction placements, trade executions, Agent configurations, and fund management decisions;
• Compliance with all applicable local, state, national, and international laws, regulations, and ordinances governing the use of prediction markets, digital assets, and blockchain-based financial instruments;
• Maintaining the confidentiality and security of wallet credentials, private keys, and any other authentication mechanisms;
• Conducting independent due diligence and risk assessment prior to placing any predictions or deploying any Agents on the Platform.

Users expressly agree not to:

• Engage in any form of market manipulation, wash trading, spoofing, or other deceptive trading practices;
• Attempt to exploit, circumvent, or interfere with the Platform's security measures, smart contract logic, or operational infrastructure;
• Use automated systems, bots, or scripts to interact with the Platform in any manner not expressly authorized by these Terms or the Platform's documentation;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform;
• Use the Platform for any purpose that is unlawful, fraudulent, or in furtherance of illegal activity;
• Transmit any viruses, malware, or other harmful code through the Platform.

4. AI Agents and Automated Trading

The Platform enables Users to create and deploy AI-powered trading Agents that operate autonomously based on user-configured parameters. By utilizing the Agent functionality, you acknowledge and agree that:

• Agents execute trades automatically based on algorithmic analysis and predefined strategy configurations; past performance of any Agent does not guarantee or indicate future results;
• You are solely responsible for configuring Agent parameters including but not limited to risk tolerance levels, confidence thresholds, category subscriptions, and maximum position sizes;
• Gambit does not guarantee the profitability, accuracy, or reliability of any Agent's trading decisions or AI-generated insights;
• Agent operations may be subject to latency, network congestion, liquidity constraints, and other factors that may affect trade execution timing and pricing;
• Agents may incur losses, and you acknowledge that such losses are your sole responsibility;
• Copy-trading another User's Agent involves inherent risk, and Gambit assumes no liability for losses incurred through copy-trading arrangements.

5. Smart Contract and Blockchain Risks

By accessing and using the Platform, you expressly acknowledge and accept the following risks inherent to blockchain-based applications and decentralized systems:

• Smart contracts, while audited and tested, may contain undiscovered vulnerabilities, bugs, or errors that could result in the loss of funds or unintended behavior;
• Blockchain transactions are generally irreversible; once a transaction is confirmed on-chain, it cannot be undone, reversed, or refunded;
• Network congestion, gas fee fluctuations, and blockchain reorganizations may impact transaction processing times, costs, and finality;
• The value of digital assets and prediction market positions is inherently volatile and may fluctuate significantly in short periods;
• Regulatory changes in any jurisdiction may affect the availability, legality, or functionality of the Services;
• Third-party infrastructure dependencies, including blockchain networks, oracles, and data providers, may experience outages, inaccuracies, or failures beyond Gambit's control.

6. Intellectual Property Rights

All intellectual property rights in and to the Platform, including but not limited to software code, algorithms, AI models, user interface designs, graphics, logos, trademarks, trade names, documentation, and all related materials (collectively, "Platform IP"), are and shall remain the exclusive property of Gambit Markets and its licensors. No license or right is granted to you by implication, estoppel, or otherwise, except as expressly set forth herein.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended purposes and in accordance with these Terms. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works based on any Platform IP;
• Use Gambit's trademarks, logos, or branding without prior written authorization;
• Scrape, harvest, or collect data from the Platform for commercial purposes without express written consent.

User-generated content, including Agent configurations and trading strategies, remains the property of the respective User; however, by making such content publicly available on the Platform, you grant Gambit a non-exclusive, royalty-free, worldwide license to display, distribute, and promote such content in connection with the operation of the Platform.

7. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated herein by reference. Gambit collects, processes, and stores certain data in connection with providing the Services, including but not limited to wallet addresses, transaction histories, platform usage analytics, and Agent performance metrics. By using the Platform, you consent to such data collection and processing practices as described in our Privacy Policy.

Gambit implements commercially reasonable technical and organizational measures to protect User data against unauthorized access, alteration, or destruction. However, no system of data security is impenetrable, and Gambit cannot guarantee the absolute security of your information.

8. Fees and Financial Terms

The Platform may charge fees in connection with certain Services, including but not limited to transaction fees, Agent deployment fees, copy-trading commissions, and performance-based fees. All applicable fees will be disclosed to you prior to the completion of any transaction and are subject to change at Gambit's discretion with reasonable notice.

You are solely responsible for all gas fees, network transaction costs, and any other blockchain-related charges incurred in connection with your use of the Platform. Gambit has no control over and assumes no responsibility for fluctuations in gas prices or network fees.

9. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GAMBIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF AI-GENERATED INSIGHTS, MARKET DATA, OR PREDICTION OUTCOMES;
• WARRANTIES REGARDING PLATFORM AVAILABILITY, UPTIME, UNINTERRUPTED ACCESS, OR ERROR-FREE OPERATION;
• WARRANTIES REGARDING THE SECURITY OF SMART CONTRACTS, DIGITAL ASSETS, OR USER FUNDS.

No advice or information, whether oral or written, obtained from Gambit or through the Platform shall create any warranty not expressly stated herein. Any reliance on AI-generated insights, market predictions, or Agent recommendations is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAMBIT MARKETS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Platform;
• Any conduct or content of any third party on or related to the Platform;
• Unauthorized access to or alteration of your transmissions, wallet, or data;
• Trading losses, including losses resulting from Agent trading activity, copy-trading arrangements, or reliance on AI-generated insights;
• Smart contract failures, vulnerabilities, or exploits;
• Blockchain network issues, including but not limited to network congestion, chain reorganizations, or protocol changes;
• Any other matter relating to the Services.

IN NO EVENT SHALL GAMBIT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO GAMBIT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gambit Markets, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to the Platform;
• Your violation of these Terms;
• Your violation of any applicable law, regulation, or third-party right;
• Any content you submit, post, or transmit through the Platform;
• Your Agent configurations and any trading activity conducted through Agents you have created or deployed.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be resolved through the following process:

• Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting each other through the designated communication channels. A party must provide written notice of the dispute, including a description of the nature and basis of the claim and the specific relief sought.
• Binding Arbitration: If informal resolution is unsuccessful within thirty (30) days, either party may initiate binding arbitration. The arbitration shall be conducted in accordance with recognized arbitration rules and procedures.
• Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Modifications to Terms

Gambit reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Material changes will be communicated through the Platform interface, and the "Last Updated" date at the top of these Terms will be revised accordingly. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Platform.

It is your responsibility to review these Terms periodically for changes. Gambit shall not be liable for any failure by you to review updated Terms.

14. Termination and Suspension

Gambit may, at its sole discretion and without prior notice or liability, temporarily or permanently suspend, restrict, or terminate your access to all or any portion of the Platform for any reason, including but not limited to:

• Suspected or confirmed violation of these Terms;
• Suspected fraudulent, abusive, or illegal activity;
• Requests from law enforcement or other governmental authorities;
• Extended periods of account inactivity;
• Technical or security issues affecting the Platform's integrity;
• Discontinuation or material modification of the Services.

Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

15. Force Majeure

Gambit shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, governmental actions, blockchain network failures or congestion, cyberattacks, power outages, or failures of third-party service providers.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by Gambit on the Platform, constitute the entire agreement between you and Gambit regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Services.

18. Waiver

The failure of Gambit to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term or condition of these Terms shall be effective only if made in writing and signed by an authorized representative of Gambit. No waiver of any single breach shall be deemed a waiver of any subsequent breach.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Gambit. Gambit may freely assign or transfer its rights and obligations under these Terms without restriction and without notice to you. Any attempted assignment in violation of this provision shall be null and void.
